1. About These Terms

These Terms and Conditions (“Terms”) govern the provision of services by Green Candle Digital Studio (“we”, “us”, “our”), a web design and digital services business based in Liverpool, United Kingdom.

By engaging our services or purchasing a package, you (“the Client”) agree to these Terms in full. If you do not agree, please do not proceed.

2. Services

We provide the following services as described in the package or proposal agreed at the time of engagement:

  • Custom website design and development
  • Bookky booking system integration
  • Product shop setup
  • SEO setup and Google Business Profile configuration
  • Ongoing support and maintenance

The specific scope of work is defined by the build package selected (Flame or Blaze) combined with a monthly support plan (Essential, Managed, or Growth), or by a bespoke proposal. We reserve the right to decline any project at our discretion before work commences.

3. Payment

Setup fee: A deposit of 50% is required before work begins. The remaining balance is due upon completion and before the website goes live. We will not release or deploy work until payment is received in full.

Monthly fees: All monthly plans (Essential, Managed, and Growth) include the Bookky booking system as standard, along with hosting, software updates, and the level of support defined in the chosen plan. These fees are billed monthly from the date the project goes live. Failure to pay within 14 days of the due date may result in suspension of services, including Bookky access.

Late payment: We reserve the right to charge interest on overdue amounts at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

All prices are quoted in GBP and are exclusive of VAT unless otherwise stated.

4. Delivery Timelines

Estimated delivery timelines are as follows:

  • Flame: approximately 2 weeks
  • Blaze: approximately 3 weeks, confirmed in writing prior to commencement

Timelines begin from the date we receive the deposit and all required content and information from the Client. Delays caused by the Client's failure to provide content or feedback will not be counted against our delivery timeline.

If we miss an agreed deadline through our own fault, the Client is entitled to a 10% discount on the outstanding balance for each full week of delay.

5. Client Responsibilities

The Client agrees to:

  • Provide all required content (text, images, logos) in a timely manner
  • Respond to requests for feedback or approval within 5 business days
  • Ensure all content supplied is owned by or licensed to the Client and does not infringe any third-party rights
  • Keep login credentials and account access secure

We accept no liability for delays or issues arising from the Client's failure to meet these responsibilities.

6. Revisions

Each build includes the following number of revision rounds:

  • Flame: 2 revision rounds
  • Blaze: 3 revision rounds

A “revision round” means one consolidated set of changes submitted at one time. Additional revision rounds are chargeable at £75 per round. Requests that represent a change in project scope are not covered by revision rounds and will be quoted separately.

7. Intellectual Property

Upon receipt of full payment, ownership of the custom website design and code created for the Client transfers to the Client.

We retain the right to display the completed work in our portfolio and marketing materials unless the Client requests otherwise in writing.

Third-party software (including Bookky, Stripe, and any other third-party tools) remains subject to its own licensing terms and is not transferred to the Client.

Content supplied by the Client (text, images, logos) remains the intellectual property of the Client.

8. Cancellation

By the Client: If the Client cancels after work has commenced, the deposit is non-refundable. Any work completed beyond the deposit value will be invoiced at a pro-rata rate.

Monthly services: Either party may cancel the monthly subscription with 30 days written notice. Upon cancellation, all website files remain the Client's property and will be provided on request.

By us: We reserve the right to terminate the agreement if the Client breaches these Terms, fails to pay, or engages in abusive conduct. In such cases, outstanding fees for work completed remain payable.

9. Liability

We will carry out our services with reasonable skill and care. However, we are not liable for:

  • Indirect or consequential losses (such as loss of revenue or loss of bookings)
  • Downtime caused by third-party hosting, Cloudflare, or Bookky infrastructure
  • Issues arising from content or instructions provided by the Client
  • Search engine ranking outcomes, as SEO setup does not guarantee rankings

Our total liability in any matter shall not exceed the total fees paid by the Client to us in the 12 months preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

10. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of the project. This obligation survives termination of the agreement.

11. Changes to These Terms

We may update these Terms from time to time. The “last updated” date at the top of this page will reflect any changes. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
